1. Acceptance of Terms

By accessing or using the Universal Health Advisors platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Service Description

Universal Health Advisors provides facility-side operational intelligence services including workforce analytics, supply chain benchmarking, vendor comparison tools, and related consulting services for long-term care facilities. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts

To access certain features of the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Obligations

You agree to: (a) provide accurate and complete information when using the Service; (b) comply with all applicable laws, regulations, and industry standards that apply to your organization; (c) not submit resident-level protected health information through public forms unless a compliant workflow has been separately established; (d) not use the Service for any unlawful purpose or attempt to gain unauthorized access to any part of the Service.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Universal Health Advisors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our benchmarking data, methodologies, and analytical tools are proprietary and constitute trade secrets.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect information submitted through the site. Any HIPAA, BAA, or regulated healthcare data requirements should be reviewed and documented separately before sensitive data is submitted.

7. Limitation of Liability

Universal Health Advisors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service. Our total liability shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.

8. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that should survive termination shall survive.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any such changes constitutes acceptance of the new Terms.
